Introduction


OpenxAI is a decentralized, permissionless AI ecosystem empowering builders, researchers, creators, and users worldwide to develop, deploy, own, and monetize AI models without corporate intermediaries, centralized control, or barriers to entry. As a community-owned Decentralized Autonomous Organization (DAO) with no central company or entity, OpenxAI operates on principles of true decentralization, user sovereignty, and open innovation. Our protocol draws inspiration from transformative technologies like TCP/IP for the Internet Era and Ethereum for the Web3 Era, positioning OpenxAI as the backbone for the AI Era—enabling trustless, borderless AI for everyone.

Interactions with OpenxAI, including OpenxAI Studio, Xnode frameworks, XnodeOS, and the OPENX Token ecosystem, are governed solely by onchain smart contracts and community consensus. Code is law: no mandatory registrations, KYC processes, accounts, or agreements are required to participate. This manifesto serves as an informational guide to our ethos, principles, and risks—not a binding contract. By engaging with the protocol (e.g., connecting a Web3 wallet, deploying models, or participating in governance), you acknowledge these details at your own discretion and risk. No permissions are needed; access is a universal right.



Why We Don’t Have Traditional “Terms & Conditions”


OpenxAI is not a company. It is a decentralized, community-governed network owned and operated by contributors all over the world. There is no central authority to grant you permission or control access.

We believe AI should be open, permissionless, and available to everyone, without gatekeepers, accounts, or region locks.

Because of this, you will not find a traditional “Terms & Conditions” page here. Instead, this is a User Covenant – a set of shared values, responsibilities, and risk disclosures designed to protect the network’s integrity and keep its mission intact.

What OpenxAI Is and Is Not

Is:

  • An open-source protocol and global infrastructure for deploying, owning, and monetizing AI models directly from your wallet, without centralized accounts or approvals.

    Is Not:

  • A bank, broker, investment advisor, or regulated financial service.

  • A source of financial advice or a promise of profit.

Your Responsibilities


By using the OpenxAI protocol or related tools, you acknowledge that

  • You interact with the network at your own risk, as no central party can guarantee uptime, security, or performance.


  • You are solely responsible for complying with your local laws, regulations, and sanctions, including those related to AI usage, data, and value transfer.


  • You should only deploy or interact with models, datasets, and applications you have the legal right to use.


Community Values


We expect all participants to uphold

  • Openness – No artificial barriers to access; the network is for everyone, everywhere.

  • Respect – No harassment, exploitation, or malicious use of the protocol.

  • Transparency – Clear attribution of models, datasets, and any modifications you make.

  • Sovereignty – Full ownership of your models and data; the protocol claims no custody or rights beyond open-source licensing.


Risk and No Warranty


OpenxAI operates without a central operator, and all software is provided “as-is” without warranties of any kind. You may encounter

  • Bugs, downtime, or service disruptions.

  • Market, regulatory, or technical changes that affect your ability to use certain features.

  • Third-party applications or integrations that are not vetted by the DAO.


No Endorsement or Partnership Implication


References to other networks, ecosystems, or platforms indicate that OpenxAI software can operate on those systems. Such references do not imply partnership, affiliation, co-ownership, or endorsement by those entities, nor endorsement of them by OpenxAI.

Tokens and Value Transfer


The OpenxAI network uses onchain assets to coordinate, govern, and power activity on the protocol. These assets are not investment products and should not be purchased with any expectation of profit. They are functional building blocks that enable participation, ownership, and utility within the network, and are not securities or regulated financial instruments under applicable laws.

Types of Tokenization on OpenxAI

  • Governance Tokens – Used to propose, debate, and vote on changes to the protocol, allocate resources, and set ecosystem priorities. They do not represent ownership of other users’ assets.

  • Compute and Storage Credits – Tokenized units representing access to decentralized GPU, CPU, or storage resources. These function like prepaid capacity to run AI models, train datasets, or store data.

  • AI Model Tokens – Onchain representations of specific AI models, which may include licensing terms, update history, and creator attribution. These can be traded, licensed, or fractionalized.

  • Dataset Tokens – Proof of dataset ownership and licensing rights, enabling creators to monetize their data while retaining attribution and control.

  • App and Agent Tokens – Tokenized AI applications or autonomous agents with embedded access controls, subscription logic, or usage caps.


Monetization Methods Supported by the Protocol:

  • Usage fees per inference, API call, or training run.

  • Subscription models for recurring access, managed onchain.

  • Licensing and royalties enforced by token metadata and smart contracts.

  • Staking for service, allowing priority access to high-demand resources.

  • Revenue sharing among contributors to jointly owned assets.

  • NFT-based access control to premium resources or applications.


Purpose and Scope:

  • Reward contributors who provide compute, build models, or improve the protocol.

  • Enable true ownership of AI models, datasets, and infrastructure.

  • Coordinate AI resources globally without centralized billing or intermediaries.

  • Maintain network neutrality by ensuring equal access to anyone holding the necessary tokens or credits.


Important Notes:

  • All tokenized assets on OpenxAI are functional utilities, not financial products.

  • Participation in staking, licensing, or revenue sharing is optional and executed entirely through smart contracts.

  • The network is non-custodial; you always control your assets in your own wallet.

  • Different distributed networks, systems, entities and jurisdictions have different rules. Understand yours before using tokenized assets.

Frontends, Integrations, and Third Parties

OpenxAI core contracts and code are open. Community frontends, marketplaces, and tools may be operated by third parties with their own policies. Interactions with third parties are at your discretion and risk. Review their terms, licenses, privacy practices, and compliance statements.

Data and Privacy


The protocol is designed for minimal data collection and non-custodial use. If you share data with a model, app, or third-party interface, you are responsible for ensuring you have rights to that data and for understanding how it will be processed or stored. Privacy practices may differ across frontends, storage providers, and chains.

Compliance and Prohibited Use


Do not use OpenxAI in ways that violate applicable law, including sanctions, export controls, or unlawful surveillance. Do not use it to deploy content or models that are illegal where you operate. The community may remove references or integrations that clearly facilitate unlawful activity, while the protocol itself remains neutral and open-source.

Security


Smart contracts and AI systems carry risk. Bugs, economic exploits, and adversarial behavior can occur. Use audits, allowlisting, testnets, and small-value pilots before scaling. Maintain strong key management. Assume that transactions are final.

If you discover a critical bug, vulnerability, or exploit affecting the OpenxAI protocol or an associated integration, report it immediately through the community’s designated security channel (listed in our documentation) or via security@openxai.org. Avoid public disclosure until the community has had the opportunity to investigate and mitigate the risk, and provide as much detail as possible to support resolution.

Risk and No Warranty


OpenxAI is provided as-is. There are no warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. You may experience downtime, unexpected behavior, market changes, or regulatory constraints that affect use.

Changes and Governance


This covenant can evolve through open governance. Proposals, discussion, and voting are visible to the community. Participants can suggest edits, raise issues, and help improve clarity and safety.

Plain-Language Summary


You do not need permission to use OpenxAI. This page states values, responsibilities, and risks so people can participate safely. You control your own assets. You must follow your local laws. Nothing here is financial advice, and there are no guarantees.

Join community channels to propose changes, report issues, or request features. If you operate a frontend or integration, publish your own contact and incident response details so users can reach you directly.


How We Improve


Because OpenxAI is community-governed, changes to this covenant happen through open proposals, discussion, and voting.
